Born on November 18, 1966, he graduated in Business Administration from Augustana College. Mr. Irlau has been the Chief Executive Officer of GNDI since August 2014. Between 2006 and 2014, he held the position of CEO at A.C. Camargo Câncer Center, and previously in management positions at Medial Saúde, Banco Santander and Citibank.

Marcelo Marques Moreira Filho CFO 2021 2023

Born on February 28, 1970, he graduated in Economics from the Federal University of Rio de Janeiro (UFRJ). Mr. Marcelo has held the position of Chief Financial Officer at GNDI since July 2016, having served as the CEO of TIBA Agro from 2008 to 2011 and as Chief Financial Officer, and later as CEO, at DASA from 1999 to 2008. Mr. Marcelo also served as the Chief Financial Officer of Fotoptica between 1997 and 1998, as well as Strategic Planning Officer for Drogasil between 1995 and 1997. Finally, he served as a senior auditor for Arthur Anderson from 1991 to 1994.

Born on April 9, 1976, he graduated in Business Administration from Fundação Armando Álvares Penteado (FAAP) and holds an MBA in Finance from Fundação Getúlio Vargas (FGV). Mr. Glauco has held the position of Investor Relations Officer since April 2017, having worked for the past eight years as COSAN’s Corporate Finance Manager and Investor Relations Officer and Business Development Officer at Netshoes. He has experience in the private sector in logistics, energy, technology and consulting in Brazil, working in the financial, business development, investor relations and treasury departments, he was responsible for corporate finance, financial planning, mergers and acquisitions, financial structuring, related to private equity funds and investment banks.

Born on February 1, 1964, he graduated in Economics from the Faculty of Political and Economic Sciences of Rio de Janeiro and is a member of the Chartered Insurance Institute in the UK. He has extensive management experience in the health insurance business segment. Mr. João has been Vice-President of GNDI since October 2014, leading the Interodonto and RHVida businesses. Mr. João served as Director of IBM Brasil between 2009 and 2014, and as CEO of Qualicorp in 2008 and Sulamérica Seguros de Saúde, between 2002 and 2008. Mr. João also served as a senior consultant for Towers Perrin for 6 years and director of the General Accident Insurance Co. for 10 years.

Born on April 29, 1961, he graduated in Accounting from the Padre Anchieta College, specializing in management accounting at Faculdades Integradas, and holds a post-graduate degree in Financial Management from the Padre Anchieta College. He has management experience in medical operating units. Mr. Joel has held the position of Chief Operating Officer since December 1999.

Luiz Celso Dias Lopes Regulatory Director 2021 2023

Born on April 27, 1974, he graduated in Law from the Osasco Faculty of Law and specialized in natural and collective rights through the College of the Public Prosecutor’s Office of the State of São Paulo, as well as an MBA in Health Planning and Management and Corporate Management by Fundação Getúlio Vargas. He has experience in the management of administrative processes to fulfill requirements imposed by ANS, PROCON and other consumer protection agencies, as well as in product registration management, regulatory requirements, authorization of transactions, mergers and acquisitions. Mr. Luiz has held the position of Director at GNDI since April 2013, having served between 2005 and 2013 as superintendent of relations with regulatory authorities at Sulamérica Seguros de Saúde, and as service and inspection manager of ANS between 2000 and 2005. Mr. Luiz also worked as a consumer protection and defense technician for PROCON between 1997 and 2000.

Born on May 19, 1964, he graduated in Law from the Guarulhos Faculty of Law. He holds a post-graduate degree in Business Law from Universidade Mackenzie and an MBA from Fundação Getúlio Vargas (FGV). He has legal experience in companies in the health and compliance sector and is a member of the Brazilian Institute of Corporate Governance (IBGC). Mr. Luiz has 30 years of legal experience, of which more than 23 years are in the area of health. He has held the position of Legal Director of GNDI since May 2016, having served from 1994 to 2016 as Legal Superintendent/Compliance and Equity at the A.C. Camargo Cancer Center-Fundação Antonio Prudente. He was President of the Dona Carolina Tamandaré Foundation between 2009 and 2016.

Born on February 26, 1961, he graduated in Business Administration from UniSantos and has an MBA in Finance from Fundação Dom Cabral. Mr. Nilo has held the position of Commercial Vice-President of GNDI since November 2016, having served as Commercial Director of Medial Saúde between 2004 and 2008 and, between 2008 and 2013 and between 1998 and 2004, respectively, as CEO and product and strategic planning superintendent of Banco Santander.

Born on January 19, 1987, he graduated in Economics from the University of São Paulo (FEA-USP) and is a member of the Brazilian Institute of Corporate Governance (IBGC). He has experience in leading mergers and acquisitions transactions in several sectors, mainly in the capital market area. He has held the position of Director of GNDI since November 2014, having served, between 2011 and 2014, as Director of mergers, acquisitions and capital market operations of Banco BTG Pactual and, previously, Banco Credit Suisse, as an analyst of Mergers, acquisitions and capital market transactions.

Silvia Carame Estefan Medical Accounts and Care Costs Director 2021 2023

Born on August 20, 1970, she graduated in Business Administration from the Getúlio Vargas Foundation (FGV) of São Paulo, also studied Economics in the area of ​​Health at the Faculty of Public Health at USP, and has an MBA in Business Management by FIA-SP. She has experience in healthcare costs, medical bill management, claims control, negotiating with accredited providers, cash management, budgeting and corporate finance. Ms. Silvia has held the position of Director of Medical Accounts and Assistance Costs of GNDI since October 2008, having also accumulated the position of Treasury Director of GNDI between 2012 and 2015. Ms. Silvia served as financial superintendent of Unimed Paulistana between July 2007 and October 2008, having previously served as process leader and financial manager of GNDI between 2001 and July 2007.

The Company’s Board of Executive Officers is comprised of at least two (2) and at most ten (10) members, being a Chief Executive Officer, an Investor Relations Officer, a Chief Financial Officer, an Executive Officer for Operations, a Chief Commercial Officer and other Officers no specific designation. Officers shall have a unified term of office for two (02) years, with re-election permitted.

As a general rule and subject to certain exceptions described in its Bylaws, the Company is validly bound whenever it is represented by: (a) two (02) members of the Board of Executive Officers; (b) one (01) member of the Board of Executive Officers and one (01) proxy with specific powers; or (c) two (02) proxies with specific powers, in this case, respecting the scope and matters set out in the Company’s policies.

It is the responsibility of the Company’s Executive Board, in general, in accordance with the Bylaws to:

  • exercise of the powers conferred by law and bylaws to ensure the full and normal operations of the Company and its subsidiaries, affiliates and business divisions;
  • submit, annually, by the end of each financial year, to the Board of Directors, a proposal for the general direction of business for the Company, its subsidiaries and its business divisions, for the following financial year, including:
    I. the business strategy for the Company’s business divisions and its subsidiaries and affiliates;
    II. the operational structure of the business, appointing a Director to be responsible for overseeing each of its divisions;
    III. the budget and target plan for each business division;
    IV. the investment and divestment policy for each business division;
    V. remuneration for the managers of each business division;
    VI. the capital structure required to execute the budget and target plan for each business division; and
    VII. plan payment of interest on equity.
  • submit, annually, within three (03) months following the close of the financial year, to the Board of Directors and the shareholders, its report and other documents relating to the accounts for the financial year, as well as a proposal to allocate the profit;
  • elect and dismiss managers of the subsidiaries and affiliates, as indicated by the Board of Directors;
  • open and close branches, warehouses, offices or representations in any part of Brazil or abroad, according to the progress of the business plan and targets reached indicated, if necessary;
  • open, move and close bank and investment accounts;
  • come to a compromise, waive, withdraw, make agreements, enter into commitments, contract obligations, make investments, acquire, encumber and dispose of assets and grant guarantees, signing the respective terms and contracts; and
  • represent the Company, in or out of court, actively and passively, before any third parties, including public agencies or federal, state or municipal authorities.
